Terms of Service

These Terms govern your use of LedgerOS, provided by LedgerOS LLC. By creating an account or using the service, you agree to them. If you are agreeing on behalf of a firm, you represent that you have authority to bind that firm.

LedgerOS is practice management software for accounting firms, including engagement and workflow tools, document handling, a client portal, messaging, billing, and related features. We may add, change, or remove features over time. Some features depend on third-party providers.

You are responsible for your account credentials and for activity under your account. Firms are responsible for the users they invite, including staff and client portal users, and for ensuring those users are authorized to access the information the firm makes available.

You retain all rights to the data you and your clients put into LedgerOS. You grant us the limited rights needed to host, process, transmit, back up, and display that data to operate the service for you. We do not sell your data, and we do not use it to train third-party AI models. Our Privacy Policy explains how we handle information.

You agree not to use LedgerOS to:

• Break the law or infringe anyone’s rights.
• Send unsolicited, deceptive, or unlawful messages, including messages to recipients who have not consented to receive them.
• Upload malware, attempt to breach security, or interfere with the service.
• Resell or provide the service to third parties except as intended (serving your own clients).

LedgerOS enables accounting firms to send text messages to their clients. If you are a recipient: message frequency varies, message and data rates may apply, you can reply STOP at any time to opt out, and HELP for help. Consent is not a condition of purchase or of receiving services.

If you are a firm using this feature, you are responsible for obtaining and maintaining proper consent from every recipient you message, for honoring opt-out requests, and for complying with the TCPA, CTIA guidelines, and all other applicable messaging laws and carrier requirements. We may suspend messaging for any firm we reasonably believe is sending messages without valid consent.

Subscription fees, included usage, and any overage rates are presented at checkout and in your billing settings. Fees are billed in advance on a recurring basis and are non-refundable except where required by law. Usage-based charges, prepaid balances, and pass-through costs are billed as described in the product. We may change pricing with notice; changes apply to subsequent billing periods.

LedgerOS integrates with third-party providers, including payment processors, communications providers, and document services. Your use of those integrations may be subject to the third party’s own terms. We are not responsible for third-party services.

LedgerOS is software, not an accounting, tax, or legal service. Features that summarize, suggest, or draft content — including AI-assisted features — are aids, not professional advice. You are responsible for reviewing all work product and for the professional judgments you make.

You may cancel at any time; access continues through the end of the paid period. We may suspend or terminate accounts that violate these Terms or create risk for the service or others. After termination, you may export your data for a reasonable period, after which we may delete it.

The service is provided “as is,” without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, LedgerOS is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim is limited to the amounts you paid us in the twelve months before the event giving rise to the claim.
